Terms of Service

1. Definitions

In these Terms:

• "Service" refers to the Etoil platform for managing eToll payments and tags for M50 and other toll roads in Ireland.
• "User" refers to any individual or entity that uses our Services.
• "Account" refers to your personal or business account with Etoil.
• "Tag" refers to the electronic device provided by Etoil for automated toll payments.
• "Toll Authority" refers to Transport Infrastructure Ireland (TII) and other official toll road operators.

2. Account Registration and Security

To use our Services, you must register for an account and provide accurate, complete, and current information.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that your account information remains accurate and up-to-date

3. Services Description

Etoil provides the following services:

• Electronic tag provision and management for M50 and other toll roads
• Automated toll payment processing
• Usage reporting and analytics
• Fleet management tools for businesses
• Integration with accounting and fleet management systems

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

4. Fees and Payments

Our fee structure consists of:

• Service Fees: Monthly or annual subscription fees as outlined in our pricing plans
• Transaction Fees: Per-toll charges as specified in your selected plan
• Tag Fees: One-time setup fee for new tags
• Toll Charges: Official toll rates set by the Toll Authority, billed separately

All fees are quoted in Euro (€) and include VAT where applicable.

We reserve the right to change our fees with 30 days' notice. Continued use of our Services after fee changes constitutes acceptance of the new fees.

5. User Responsibilities

As a user of Etoil Services, you agree to:

• Use the Services only for lawful purposes
• Provide accurate vehicle and payment information
• Maintain sufficient funds in your account to cover toll charges
• Properly install and maintain your tag according to our instructions
• Notify us immediately of any lost, stolen, or damaged tags
• Comply with all applicable laws and regulations regarding toll road usage

You may not:

• Use the Services for any fraudulent or illegal purpose
• Interfere with or disrupt the integrity or performance of our Services
• Attempt to gain unauthorized access to our systems or networks
• Transfer your tag to another vehicle without updating your account
• Use someone else's tag without authorization

6. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of Etoil and are protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from our Services without our express written permission.

7. Limitation of Liability

To the maximum extent permitted by law, Etoil shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our Services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our Services
• Any bugs, viruses, or the like that may be transmitted to or through our Services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services

In no event shall Etoil's total liability to you for all damages exceed the amount of fees paid by you to Etoil over the six (6) months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Etoil and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

9. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use our Services will cease immediately. If you wish to terminate your account, you may simply discontinue using our Services or contact us to close your account.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
